Terms & Conditions

These Terms & Conditions ("Terms") govern your use of Cortex ("the Service"), operated by Cortex ("we", "us", "our") based in Toronto, Ontario, Canada. By accessing or using Cortex at learnwithcortex.com, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, you may not use the Service.

2. Account Registration

To use Cortex, you must create an account through our authentication provider, Clerk. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activity that occurs under your account

You must be at least 13 years old to create an account.

3. Subscription and Billing

Cortex offers the following plans:

• Free tier -- limited access to core features
• Pro -- $8/month or $60/year, with full access to all features including AI-generated content

Payment is processed securely through Stripe. By subscribing to a paid plan, you agree to the following:

• Subscriptions auto-renew at the end of each billing cycle unless cancelled
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period -- you retain access until then
• Refunds are not provided for partial billing periods

4. AI-Generated Content

Cortex uses artificial intelligence to generate educational content, including concept explanations (via Anthropic Claude) and illustrations (via Google Gemini). You acknowledge that:

• AI-generated explanations and images may contain inaccuracies, errors, or biases
• AI content is provided for informational and educational purposes only
• You are solely responsible for verifying the accuracy of any AI-generated content before relying on it
• We do not guarantee the completeness, reliability, or suitability of AI-generated content

5. User Content

Content you create within Cortex -- including concepts, notes, cortexes (collections), and review data -- belongs to you. By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.

We do not claim ownership of your content. We do not sell, share, or use your content for purposes unrelated to the Service.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Upload or create content that is illegal, harmful, threatening, abusive, or hateful
• Scrape, crawl, or use automated tools to extract data from the Service
• Abuse AI generation features (e.g., excessive automated requests, prompt injection attacks)
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the Service or its servers
• Impersonate any person or entity

7. Intellectual Property

The Cortex name, brand, logo, and design are the intellectual property of Cortex. You may not use our branding without prior written permission.

Your content remains your intellectual property, subject to the limited license described in Section 5.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

9. Service Availability

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Perform maintenance that may temporarily affect availability
• Limit certain features or access in response to unexpected demand or abuse

We will make reasonable efforts to notify users of significant changes or planned downtime.

10. Limitation of Liability

To the maximum extent permitted by law, Cortex and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of data or content
• Reliance on AI-generated content
• Service interruptions or errors
• Unauthorized access to your account

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms, abuse the Service, or engage in conduct that we determine is harmful to the Service or other users.

You may delete your account at any time through your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you via the email address associated with your account. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
